Daihatsu to Introduce New Management System

Daihatsu Motor Co., Ltd. (DMC) announced today that it plans to introduce a new management system that features a streamlined board of directors, the new position of officer, and a new organizational structure.
The new management system has been established to respond to enhanced globalization of the company’s operations, to strengthen corporate governance, and to improve the overall management culture. Highlights of the new management system are as listed below.

1. Streamlined board of directors

Objective

  • To rejuvenate the board of directors and speed up the managerial decision-making process.

Highlights

  • The number of directors will be reduced from current 26 to 9. Executive vice presidents and the directors below the rank of executive vice president will serve concurrently as officers.

2. New position of officer (Non-board executive officers)

Objective

  • To strengthen and accelerate operational functions.

Highlights

  • Each officer will be appointed for a one-year term. Officers will be appointed as heads of strategic organizations and senior executives of major subsidiaries.

3. Introduction of functional business groups

Objective

  • Achieve clearer delineation of responsibilities and realize organizations to accomplish missions by conducting operations on an individual business group basis.
  • Utilize personnel strategically through the broader organizational structure.

Highlights

  • Business groups will be organized by function and headed by executive vice presidents and the directors below the rank of executive vice president.

The new board of directors and officers will be officially appointed pending approval at this year's ordinary general shareholders' meeting and at the board of directors meeting following the ordinary general shareholders' meeting on June 29.
